1. Who we are

SignalPGx LLC ("SignalPGx", "we", "us", "our") provides a white-label pharmacogenomics (PGx) reporting platform and clinical decision-support software for laboratories. By accessing our website, creating an account, or using our platform, you agree to these Terms of Service.

2. Scope

These Terms apply to visitors of our website, laboratory and clinician users who access the platform, and customers with an active agreement. Where a separate laboratory, subscription, or business-associate agreement exists, that agreement governs and controls in the event of a conflict. These Terms do not apply to third-party services integrated with our platform.

3. Eligibility

The platform is intended for use by clinical laboratories, healthcare organizations, and their authorized professional users. By using it, you confirm that you are authorized to act for such an organization and that your use complies with applicable laws and professional obligations.

4. Services & usage rights

Subject to your agreement and these Terms, we grant your organization a non-exclusive, non-transferable right to use the platform to generate and deliver pharmacogenomic reports. You retain all rights you hold in the genetic and patient data you submit; SignalPGx processes that data solely on your behalf, as your service provider and, where applicable, as a HIPAA business associate under a separate agreement, to produce reports your organization may use for its clinical and patient-care purposes. You are responsible, as the covered entity, for ensuring you have the lawful basis and any required patient authorizations to submit patient data to the platform, and the parties' respective obligations for protected health information are governed by the applicable business-associate agreement.

5. Payments & refunds

Fees are set out in your order or agreement and may be billed per report, per subscription, or by volume. Unless your agreement states otherwise or the law requires it, fees for reports already generated and delivered are non-refundable. Applicable taxes are added where required.

6. Account & access

Access to the platform requires an account. You are responsible for maintaining the confidentiality of your credentials, for activity under your account, and for ensuring only authorized users have access. Sharing access with unauthorized parties or automated scraping of the platform is strictly prohibited.

7. Intellectual property

The platform, our software, proprietary algorithms, and branding remain the intellectual property of SignalPGx LLC. Use of the service does not transfer ownership of our underlying technology. Your organization retains the rights it holds in the data it submits and ownership of the reports produced for it, provided that the underlying interpretive content, methodology, evidence models, and software remain the intellectual property of SignalPGx LLC, and subject to these Terms and your agreement.

8. Prohibited uses

You agree not to misuse the platform, including: using it outside its intended clinical decision-support purpose, submitting data you are not authorized to process, attempting to reverse-engineer or copy the platform, or using reports in a way that violates applicable law or professional standards.

9. Service availability & accuracy

We aim for high availability but cannot guarantee uninterrupted access. Reports are generated from the data you submit and the current scientific and clinical evidence available at the time, which may change over time; you acknowledge that a qualified clinician remains responsible for reviewing each report and for all prescribing and treatment decisions.

10. Disclaimers

The platform provides clinical decision-support and reporting tools and is not a diagnostic device and not a substitute for professional medical judgment. Except as expressly stated in your agreement, the service is provided "as is" without warranties of any kind, to the fullest extent permitted by law.

11. Limitation of liability

To the fullest extent permitted by law, SignalPGx LLC is not liable for indirect, incidental, or consequential damages, or for clinical decisions made in reliance on the platform. Our total liability is limited as set out in your agreement or, absent such terms, to the fees paid by your organization for the applicable service in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless SignalPGx LLC from claims, damages, or liabilities arising from your use of the platform, the data you submit, or your breach of these Terms or applicable law.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which SignalPGx LLC is formed, unless otherwise required by applicable mandatory or healthcare law in the relevant jurisdiction.

14. Changes to these Terms

We may update these Terms from time to time. Updates will be posted on this page with a revised "Last updated" date. Continued use of the platform after changes take effect means you accept the revised Terms. If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary and the remaining provisions will remain in full force and effect.
